Devolver is proposing to delist from the UK’s AIM market and return to private ownership. If approved, the move would remove Devolver Digital from public markets. No effect on its publishing operations has been established.
The publisher went public in November 2021, with Fall Guys among the games associated with that decision. Devolver now says its share price has not reflected the company’s value or the results of its portfolio and development pipeline.
Devolver says public reporting does not fit game development
In its announcement to investors, Devolver pointed to the wider strain across the games business, including layoffs, platform changes, and write-downs affecting studios and publishers.
The company also says a public listing creates pressure to show steady growth even though game development rarely follows a predictable financial schedule. Projects can take longer than planned, while revenue from a successful release may continue arriving over several years.
Devolver described the problem directly: “Development timelines can be unpredictable, and, as a result, financial performance can vary significantly between reporting periods and may not follow a linear progression.” The publisher said this uneven pattern does not fit neatly with semiannual reporting and the market’s preference for predictable growth from one period to the next.
Going private could save Devolver $1.6 million per year
Financial savings are another part of the proposal. Devolver says returning to private ownership could reduce its annual costs by about $1.6 million.
The proposed delisting still requires shareholder approval. If completed, it would remove Devolver Digital from public markets, while the effect on its publishing operations remains unestablished.
